These Terms of Use (the "Terms of Use") apply to the StreamEye, LLC web site located at www.stream-eye.com (collectively, the "Site"). The Site is the property of StreamEye, LLC ("StreamEye").
Note: IF YOU DO NOT AGREE TO THESE TERMS OF USE, DO NOT USE THIS SITE. By using the Site, you agree to these Terms of use; if you do not agree, do not use the Site.

You must be 18 years of age or older in order to use this Site.
StreamEye reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes.

No other use of the information is authorized without prior written permission from StreamEye. In consideration of this authorization, you agree that any copy of these materials that you make shall retain all copyright and other proprietary notices in the same form and manner as on the original. Except as specified above, nothing contained herein shall be construed as conferring by implication, estoppel or otherwise any license or right under any patent, trademark or copyright of StreamEye or any third party.
You can not remove any proprietary notice language in all copies of such documents. You can not make modifications to any Content, and not make any additional representations or warranties relating to such Content.
It is prohibited to utilize any automated tools, such as "deep-link", "page-scrape", "robot", or "spider", or any manual methods that mimic these, to access or monitor any part of the Site or its content. The trademarks, logos and service marks (“Marks”) displayed on this Site are the property of StreamEye or other third parties. Users are not permitted to use these Marks without the prior written consent of StreamEye or any third party that may own the Mark.

You must also promptly inform StreamEye of any unauthorized use of your account or password, or any security breaches of your account. You may be held accountable for losses suffered by StreamEye or any other user or visitor to the Site if someone else gains access to your account, password, or login due to your failure to maintain the security and confidentiality of your account information.
You are not permitted to use another individual's account, password, or login. StreamEye disclaims all liability for any losses or damages resulting from your failure to adhere to these responsibilities.

5. Disclaimer

The Site and its Content are provided on an "as-is" and "as-available" basis. StreamEye does not guarantee that the site or any content will be free of errors. StreamEye reserves the right to modify all information on the site without prior notice to you.

6. Limitation of Liability

Unless prohibited by law, StreamEye shall not be held liable to you for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits, even if StreamEye has been informed of the potential of such damages.
In the event that StreamEye is determined liable to you for any damage or loss resulting from or in connection with your use of the Site or any Content, StreamEye's liability shall not exceed US$100.00, notwithstanding any other provisions in these Terms of Use. Please note that some jurisdictions may not permit limitations of liability, and as such, this stated limitation may not be applicable to you.

StreamEye may disclose any information we have about you (including your identity) if:
• it is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) StreamEye’s rights or property, or third party;

• if applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.

In order for you to receive StreamEye's news, event invitations, publications, product demo versions, and other StreamEye's products you are required to complete an on-line a subscription or registration form on Site.

You agree to indemnify and hold harmless StreamEye, its officers, directors, shareholders, predecessors, successors, employees, agents, subsidiaries, and affiliates from any claims, losses, liabilities, demands, or expenses (including attorneys' fees) asserted against StreamEye by any third party arising out of or in connection with your use of the Site and/or its Content.

10. Jurisdiction and the governing Law

These Terms of Use will be governed by and construed in accordance with the laws of the United States and the State of California as applied to agreements entered into. The parties hereby submit to the jurisdiction of, and waive any venue objections against, the courts of Santa Clara County, California, in any litigation arising out of the Terms of Use;
If for any reason a court of competent jurisdiction finds any provision of these Terms of Use or a portion thereof, to be unenforceable, that provision of the Terms of Use shall be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remainder of these Terms of Use shall continue in full force and effect.

You may not use, export or re-export any Content or any copy or adaptation of such Content from the Site, or any product, service or others offered on the Site, in violation of any applicable laws or regulations, including without limitation United States export laws and regulations.
